Notice of Proposal to Amend the Articles of Incorporation
Proposal 1: Amendment for 501(c)(3) Status. The Board proposes amending the Articles of Incorporation to qualify the Club as a 501(c)(3) tax-exempt organization. This status allows donors to deduct contributions from their taxes, which is critical for projects like the proposed new hut in the Talkeetna Mountains. Under this amendment, the Club must operate exclusively for charitable and educational purposes, and net earnings cannot benefit private individuals.
Proposal 2: Governance Restatement. The resolution also proposes restating the Articles to protect officers and directors from personal responsibility for Club debts. Importantly, this change allows the Board to alter membership rights, which authorizes the Board to amend the Club's bylaws without obtaining member approval.
A meeting of the membership will be held on July 15, 2026, at 6pm via Zoom, at which time the proposal will be put before the membership for a vote. Members can attend the meeting via Zoom, or vote by mail or by proxy. A link to join the meeting and a proxy form enabling members to vote has been electronically sent to the Club’s members by the Board. Members can register their votes for or against the proposal to amend and restate the Articles of Incorporation using the Board’s proxy form, but only if they return it before the meeting. Members can also vote by mail at P.O. Box 243561, Anchorage, AK 99524-3561, or by using their own proxy forms and registering them with the Club before the meeting.
Understanding the Proxy Form. The Board is asking members to sign the proxy form as is. Members should be aware that this form bundles several authorizations: it allows the Proxy Committee to register your vote on the proposals, provides official consent to receive legal notices via electronic communication (including in Scree), and authorizes the Committee to establish a quorum for all future meetings.
